:Different Terms Of Service

The Different website www.different.com.au and any associated apps or blog (Platform) and services that we provide through the Platform (Services) are operated by Different Technologies Pty Ltd ACN 615 060 118 trading as Different (Different, we, our or us).

Your access to and use of the Platform is subject to these terms and conditions and the Different Privacy Policy (Terms). Your access and use of the Platform and Services indicates your acceptance of the Terms. If you do not agree to the Terms, you must not use the Platform or the Services.

We may change or update the Terms from time to time at our sole and absolute discretion with or without prior notice to you, provided they do not materially affect your access to the Platform or use of the Services. Such changes will be effective immediately and incorporated into these Terms. You should review these Terms regularly for any changes and your continued use of the Platform and Services will be deemed to be your acceptance of the modified Terms.

Platform and Services

  1. Different provides the following property agent services through the Platform:

    1.1. letting residential properties, including through:
    a) marketing;
    b) assessing tenant applications; and
    c) arranging agreement signing and premises handover;

1.2. managing residential properties, including:

a) collecting rental payments from tenants and on-paying such payments to landlords;

b) collection, lodgement and release of rental bonds;

c) management of receipt and payment of bills, rates and taxes;

d) receiving notification of repairs and maintenance requested by tenants, organising approval or rejection of such repairs and maintenance by landlords, organising completion and checking of such repairs and maintenance;

e) monitoring lease compliance; and

f) managing disputes relating to a property managed by Different; and

g) organising and carrying out end of tenancy tasks.

2. By using the Platform you consent to us contacting you through the Platform and any other means including email, telephone, social media, and SMS.

Registration process

  1. Tenants and owners can create a user account to use the Platform (Account) by following the steps included in an invitation we send to you by email or SMS.
  2. You must provide such verification documentation as Different may request. All documents provided to Different must be certified by a person who is authorised to certify documents https://www.legislation.gov.au/Details/F2016C00590. Different may request certified copies of your passport, drivers licence, birth certificate, citizenship certificate, other photographic identification, council rates notices, pay slips or other evidence of employment, a written reference verifying an association with a financial body of at least 12 months, Medicare card, Land Titles Office records, public utility records (such as phone, internet, water, gas or electricity bills), bank records, or documents from a licensed real estate agent (such as a previous lease/rent agreement, receipts or a confirmation letter). If a document is not in English it must be accompanied by a certified translation.
  3. Different may use tools to verify your identity and references (Verification Tools). Verification Tools may include mobile phone verification technology, or verification of payment information.
  4. To receive the Services from us:
    a) landlords must sign, return to us, and comply with, a management agency agreement (Agency Agreement), which will be the primary document if there is any conflict with these Terms; and
    b) tenants must sign, return to us, and comply with, a residential tenancy agreement (Tenancy Agreement), which will be the primary document if there is any conflict with these Terms.
  5. When you create your Account you will create a password to access the Platform and use the Services. You must not disclose your password or username to any third party. You must contact us immediately at hello@different.com.au if you believe that your password or username have been compromised or disclosed to a third party. You are solely responsible for any use of your username and password.
  6. You may also access your Account and the Platform using biometric data where this is made available by Different.

Your use

  1. As a condition of your use of the Platform, you must:
    a) be at least 16 years of age; and
    b) use the Platform and the Services only in accordance with these Terms, and, where applicable, your Agency Agreement or Tenancy Agreement.
  2. You must ensure that any information you provide is accurate and complete, and will not be misleading, deceptive or likely to mislead or deceive. You will be solely responsible for all costs, losses or expenses suffered or incurred by Different as a result of inaccurate, incorrect, incomplete or unlawful information.
  3. You must comply with all applicable laws.
  4. You must not, and must not permit, direct or encourage or assist any third party to:
    4.1. pretend to be someone else;
    4.2. engage in any unlawful practices or procedures;
    4.3. provide any information that:
    a) is false, inaccurate, unauthorised, illegal, incomplete, fraudulent, unlawful, threatening, defamatory, libellous, obscene, indecent, inappropriate, harmful, abusive, racist, inflammatory, pornographic material or any material that;
    b) infringes any third party's rights (such as intellectual property, privacy, publicity or contractual rights); or
    c) could give rise to civil or criminal proceedings.
    4.4. restrict anyone else from using the Services or the Platform;
    4.5. upload or transmit any malware, virus or other disabling or destructive feature;
    4.6. interfere with, disrupt, or create an undue burden on the Platform or any associated systems;
    4.7. frame or mirror any part of the Platform, or engage in any screen scraping or data acquisition or consolidation, without our prior written approval;
    4.8. except to the extent permitted by law, modify, adapt, sublicense, translate, sell, reverse engineer, decipher, decompile or otherwise disassemble any portion of the Platform or cause any other person to do so; or
    4.9. use or attempt to use any engines, software, tools, or other mechanisms (including browsers, spiders, robots, avatars or intelligent agents) to navigate or search the Platform other than the commonly recognised search engine and agents, and other than generally available third party web browsers.
  5. You must arrange and pay for any method through which you access the Platform.

Maintenance and repair work

  1. These Terms will, where the context requires, apply to any Contractor who has been asked to provide quotes for, or who provides or performs, any maintenance, repair or other work (Work).
  2. Different does not guarantee that a maintenance request lodged by a tenant will be responded to or acted upon.
  3. Contractors asked to provide quotes for Work:
    3.1. must make all reasonable enquiries about the nature of the Work, and if any failure to make such enquiries results in additional time or expenditure on the part of the contractor in completing the Work, the contractor must bear that expense; and
    3.2. acknowledge that any information in relation to the fault or damage has not been created by Different and Different does not warrant the accuracy or completeness of that information.
  4. Different does not guarantee the performance, quality or cost of any Work undertaken by contractors.
  5. Contractors who are engaged to provide Work must:
    5.1. use all reasonable endeavours to:
    a) start and complete the Work within agreed timeframes;
    b) notify Different as soon as they become aware of any delays;
    5.2. ensure that Work is completed:
    a) in accordance with the agreed quote and scope of Work;
    b) in a good and workmanlike manner;
    c) using new materials of merchantable quality and which are fit for their purpose;
    5.3. comply with all applicable laws;
    5.4. comply with the reasonable directions of Different;
    5.5.. warrant that they have appropriate experience to provide the Work;
    5.6. maintain, and upon request provided evidence of, current policies of insurance sufficient to cover all damages, liabilities and obligations arising in connection with the Work undertaken by those contractors at our request, including public liability insurance, product liability insurance and workers compensation insurance; and
    5.7. provide such information, photos and other documentation as Different may require from time.
  6. If, after completion of the Works, there is any defect in the Work, Different may give the contractor notice within a reasonable time in its absolute discretion a direction to either re-supply the non-conforming or defective Work, or provide Different with a refund or credit in respect of the non-conforming or defective Work.
  7. These Terms supersede any other terms in relation to a contractor's Work to the extent of any inconsistency.
  8. The terms of payment for any maintenance or repairs will be as communicated to you from time to time.

Tenant payments and communications

  1. Tenants must pay rent and other amounts payable under their residential tenancy agreement to Different as the landlord's agent and must do so by either direct debit or credit card only, unless otherwise agreed in writing.
  2. Any communications from and to the tenant:
    2.1. may be viewed by the owner of the relevant property; and
    2.2. in relation to maintenance may be viewed by one or more service providers approved by Different.

Intellectual property and content

  1. With respect to the content, photos, videos, images, trademarks, logos, brands, commentary, feedback, testimonials or other materials you provide to Different, through the Platform or otherwise, (Content), you:
    1.1. are solely responsible for that Content;
    1.2. must ensure that you have all necessary rights to provide that Content, and that your provision of such Content does not breach any laws or third party rights; and
    1.3. grant to Different a non-exclusive, worldwide, royalty-free, fully paid, transferable, sub-licensable, perpetual, irrevocable license to copy, display, upload, distribute, store, modify and otherwise use your Content in connection with the Platform and/or the Services, including by using any part of the Content and your first name to promote Different.
  2. If any Content contains your name, voice, image or likeness, or the name, image, voice or likeness of a third party, you:
    warrant that you have all necessary authorisations and consents from those third parties; and
    indemnify and will keep indemnified Different from all costs, claims, expenses and liability made by you or any third party in relation to Different's use of such name, image, voice or likeness.
  3. All images, information and material provided by Different on the Platform or as part of the Services are owned by Different or its licensors. You must not copy, modify, distribute, prepare derivative works of, display, publish, or adapt any images, information and material on the Platform or provided as part of the Services without obtaining Different's prior written consent.
  4. Information made available on the Platform, including recommendations and advice and any calculators, is for general information purposes, is indicative only, and does not take into account your specific circumstances. Any reliance you place on such information is at your own risk, and we are not responsible for it. Before acting on any information provided on the Platform it is your responsibility to:
    4.1. consider whether it is appropriate for your purposes;
    4.2. carry out your own research; and
    4.3. seek additional advice where necessary.
  5. Information provided from a calculator or other automated generation of information made available on the Platform is not:
    financial, legal, real estate, insurance or business advice; and
    a quote or guarantee from, or binding on, us.
  6. Provision of the Services may include photographs and videos being generated by us or other users which may include the faces, voices and other personal information of you and any other person and you consent to such media being used for the purpose of providing and marketing the Services.

Additional Terms and website links

  1. Some areas of the Platform, and some types of services may have additional terms and conditions. We may make special offers available to new and existing users from time to time, including where new users have been referred to us. Additional terms and conditions will apply to those special offers. Where additional terms apply, we will make them available for you to read. By using those areas of the Platform, those services, or accepting special offers, you agree to the additional terms.
  2. The Platform may contain links to sites not owned or operated by Different. These links are not referrals, sponsorships or endorsements of the linked sites by Different. We are not responsible for any linked websites. You should familiarise yourself with the terms and conditions and privacy policy of any site to which you link. We may receive fees, commissions or other reward from third parties for introductions to a third party site.
  3. You may put links on your site pointing to our Platform provided that all links must comply with these Terms. If directed by Different, you agree to immediately remove any links from your site if Different deems the links to be misrepresentative of its brand, image and reputation in any way, or for any other reason in Different's sole discretion.

Optional Rent Guarantee Service

  1. We are able to offer an optional rent guarantee service (Rent Guarantee Service) in addition to those services set out in paragraph 1.1 above to landlords who meet the qualifications contained in the Schedule to these Terms (Qualifying Landlords).
  2. Qualifying Landlords must have an Agency Agreement and a Tenancy Agreement with a qualifying tenant (Qualifying Tenant) for their respective property in place in order to qualify for the Rent Guarantee Service.
  3. The Rent Guarantee Service is an optional service where we will cover the rental payments for a specific period of time as a result of a Qualifying Tenant failing to pay rent under a qualifying tenancy agreement (Qualifying Tenancy Agreement).
  4. The terms and conditions relating to this Rent Guarantee Service are contained in the Schedule to these Terms. The Rent Guarantee Service is independent and separate from the insurance cover required by a Qualifying Landlord and is not a separate insurance policy. The Rent Guarantee Service is a contractual agreement between us and a Qualifying Landlord.
  5. The terms set out in bold print in this paragraph 8 are more fully defined and explained in the Schedule to these Terms.

Complaints

  1. If you have a complaint about the Platform or the Services please contact us at hello@different.com.au. You must attempt to resolve any dispute with us in good faith, prior to commencing any form of litigation or legal proceedings.

Termination

  1. We may terminate or suspend your use of the Platform and/or your Account where you have, or we reasonably suspect that you may have, breached any of the Terms, your Agency Agreement, your Tenancy Agreement, or where required by law.
  2. Your access to and use of the Platform will automatically cease 12 months after termination of your Agency Agreement or Tenancy Agreement, unless the context otherwise requires.
  3. Upon termination of your Account or your access to the Platform or Services for any reason, we will permanently delete your Account after two months.
  4. Unless otherwise agreed with us or stated in these Terms, we are not liable to you or any third party for any damages, liabilities, losses that a user or any other third party may incur, as a result of any termination or suspension of your access to the Platform, use of the Services or your Account under these Terms.
  5. Any terms which by their nature should continue to apply will survive any termination or expiration of these Terms.

Indemnity

  1. You agree to defend and fully indemnify and hold us and our affiliated companies (and our officers, directors, employees, consultants, contractors and agents) harmless from and against all claims, actions, suits, demands, damages, liabilities, costs or expenses (including without limitation legal costs and expenses on a full indemnity basis), including without limitation in tort, contract or negligence, arising out of or connected to:
    1.1. your use of or access to the Platform or the Services;
    1.2. your reliance on any information provided through the Platform;
    1.3. any breach by you of these Terms; or
    1.4. any wilful, unlawful or negligent act or omission by you or any third party who obtained access to the Platform or Services through you.

Limitation of liability

  1. To the extent permitted by law:
    1.1. the Platform is provided "as is";
    1.2. Different does not guarantee, warrant or represent that the Platform or the Services will meet your requirements, be fit for purpose, or be free from, without limitation, interruption, loss, corruption, technologically harmful material, errors, or omissions;
    1.3. Different excludes all implied representations, warranties, terms and conditions of any kind whatsoever (whether implied by common law, statute or otherwise) and the application or availability of any statutory rights; and
    1.4. Different excludes all liability for any advice or recommendations provided by it, including in relation to contractors engaged to carry out maintenance work on premises.
  2. Nothing in these Terms is intended to exclude, restrict or modify any rights that you may have under the Competition and Consumer Act 2010 (Cth) (CCA) including without limitation the Australian Consumer Law.
  3. To the extent permitted by applicable law, Different will not be liable to you or any third party for any direct, indirect, incidental, punitive, special or consequential loss, damage or claim including: loss of profits; data loss or breach; loss of goodwill; damage to reputation; loss of revenue, contract, business or anticipated savings.
  4. If we are not able to exclude liability, to the extent permitted by law our aggregate liability for all claims relating to the Platform and the Services will not exceed fifty Australian dollars (or equivalent).

General

  1. If any part of the Terms is unenforceable the enforceability of any other part of the Terms will not be affected. All other terms will remain in full force and effect.
  2. No agency, partnership, joint venture, employee-employer or other similar relationship is created under these Terms. In particular you have no authority to bind Different, its related entities or affiliates in any way whatsoever.
  3. No waiver of any term of this Terms will be deemed a further or continuing waiver of that term or any other term, and our failure to assert any right or provision under these Terms will not constitute a waiver of that right or provision
  4. These Terms may be assigned or novated by us to a third party without your consent. In the event of an assignment or novation you will remain bound by these Terms.
  5. The use of "including", "such as" and similar words or phrases are not words or phrases of limitation.
  6. These Terms are to be construed in accordance with the laws of New South Wales, Australia, and in the event of any dispute or claim associated with these terms and conditions, that dispute or claim shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia.

Acceptance

  1. By entering into the Agency Agreement, I confirm that:
    1.1. I agree and accept the Terms; and
    1.2. I am aware that any collection of personal information is used in accordance with Different’s Privacy Policy and further information is available at www.different.com.au; and
    1.3. here is no existing dispute, issue or problem which has occurred or is currently ongoing at the property to be managed by Different; and
    1.4. the rent and all other payments to be made by the tenant under the tenancy agreement entered into with a tenant of the property to be managed by Different is currently up to date and not in arrears; and
    1.5. the tenant has paid in full and the landlord has received under a tenancy agreement relating to the property to be managed by Different a bond for a sum being the equivalent of four (4) weeks rent under that tenancy agreement; or
    1.6. if there is no existing tenant for the property to be managed by Different, I understand that a four (4) week bond must be collected under any future tenancy agreement for the property.

Schedule – Rent Guarantee Service

The words and phrases defined in the Terms have the same meaning in this Schedule.

The Rent Guarantee Service is given on the terms and condition set out in this Schedule together with the Terms (Rent Guarantee Service Terms). By selecting the tick box at the end of this Schedule and the corresponding tick box at the end of the Terms of Service, you agree to the Rent Guarantee Service Terms.

We may change or update the Rent Guarantee Service Terms from time to time at our sole and absolute discretion with or without prior notice to you, provided they do not materially affect your use of the Rent Guarantee Service. Such changes will be effective immediately and incorporated into these Rent Guarantee Service Terms. You should review these Rent Guarantee Service Terms regularly for any changes and your continued use of the Rent Guarantee Service will be deemed to be your acceptance of the modified Rent Guarantee Service Terms. Where there are any material changes which affect your use of the Rent Guarantee Service, we will provide the updated Rent Guarantee Service Terms to you in writing.

The Rent Guarantee Service is offered to you as a separate commercial agreement with Different whereby Different agrees to cover the rental payments for a specific period of time as a result of a tenant failing to pay rent under a tenancy agreement. This agreement is made available as part of a package when Landlord’s Insurance is taken out with the Insurer (as defined in paragraph 7 below).

The Rent Guarantee Service does not form part of the Landlord’s Insurance and is not insurance in itself. The Rent Guarantee Service is a separate commercial arrangement between you and Different which is available when Landlord’s Insurance is taken out by you with the Insurer. If you have an insurance query you should contact Modern Risk Solutions Pty Ltd by telephone on 1800 131 688 or by email at different@modernrisksolutions.com.

There is no obligation on you to take the Landlord’s Insurance with the Insurer and you are welcome to obtain equivalent and any other insurance from any other insurer at your discretion. If you obtain insurance with a different insurer, the Rent Guarantee Service will not be available to you. We act as a non-advice distributor on behalf of the Insurer in relation to the Landlord’s Insurance and we are unable to provide any financial services or insurance advice in relation to this insurance policy or any other policy of insurance. The availability of the Rent Guarantee Service is not based on any assessment of your personal circumstances and is given under the Rent Guarantee Service Terms.

The Rent Guarantee Service

The Rent Guarantee Service is available to a Qualifying Landlord (set out in paragraph 2 below) who has a Qualifying Tenancy Agreement (set out in paragraph 4 below) with a Qualifying Tenant (set out in paragraph 3 below).

The Rent Guarantee Service will cover a Qualifying Landlord’s loss of rent arising as a result of a Qualifying Rent Default by a Qualifying Tenant under a Qualifying Tenancy Agreement to the extent that the Qualifying Landlord’s loss of rent is covered by the Landlord’s additional cover in relation to Rent Default.

Where a Qualifying Rent Default (set out in paragraph 5 below) occurs and, subject to paragraphs 1,.2, 1.4 and 7.3 below, we will advance to the Qualifying Landlord the following amounts:

the fortnightly or monthly rent (as applicable) under the Qualifying Tenancy Agreement payable to the Qualifying Landlord on the next business day following the fifth consecutive day of the Qualifying Rent Default (being the fifth consecutive day that the Qualifying Tenant is in default under the Qualifying Tenancy Agreement as a result of a Qualifying Rent Default);

the fortnightly or monthly rent (as applicable) under the Qualifying Tenancy Agreement will continue to be paid on the usual rent payment dates set out in the Qualifying Tenancy Agreement up to and including the Insurance Limit (as defined in paragraph 1.6 below) (the payments together being the Rent Guarantee Service).

If the Qualifying Tenant pays to the Qualifying Landlord the rent under the Qualifying Tenancy Agreement (Rent) at any time following the date the Rent is due under the Qualifying Tenancy Agreement (Due Date) and any advance has been made by us under paragraph 1.3 or payment by the Insurer in relation to a claim made under paragraph 7, then any amount paid by the Qualifying Tenant in addition to the usual Rent under the Qualifying Tenancy Agreement will be applied against the amount advanced by us to you on receipt from the Qualifying Tenant (Outstanding Rent Repayment). The Qualifying Landlord hereby agrees and authorises that any Outstanding Rent Repayment which is received directly into the trust account held by Different on behalf of the Qualifying Landlord under the terms of the Agency Agreement will be automatically paid on the date received from that trust account to Different and Different is authorised to make any repayment due to the Insurer. The usual Rent paid under the Qualifying Tenancy Agreement will remain in the trust account to be paid in full to the Qualifying Landlord.

If the Outstanding Rent Repayment is paid directly to the Qualifying Landlord, rather than into a trust account held by Different, then the Qualifying Landlord will repay that amount to Different on demand and Different will arrange the repayment due to the Insurer.

The most we will advance where there is a Qualifying Rent Default will be the lesser of the amount owing under the Qualifying Tenancy Agreement or $18,000 (Insurance Limit). If the Qualifying Tenancy Agreement has defaulted to a periodic tenancy agreement we will not advance more than you would be legally entitled to recover from the Qualifying Tenant due to non-compliance under the periodic tenancy agreement (being the relevant notice period under that periodic tenancy agreement).

Any balance of the Bond (as defined in paragraph 4.1.8 below), which has been reduced after deduction of allowable reletting expenses and any other costs or expenses you are legally entitled to deduct, must be used in the first instance to reimburse us in relation to any advance made under the Rent Guarantee Service and reimburse the Insurer under any Claim (as set out in paragraph 7 below) (Bond Reimbursement).

The Qualifying Landlord hereby agrees and authorises Different to deal with the Bond, and deal with any amount of the Bond paid into a trust account held by Different on behalf of the Qualifying Landlord, to satisfy the Bond Reimbursement.

Qualifying Landlord

A Qualifying Landlord must satisfy the following conditions:

the landlord is the registered proprietor of the premises which is subject to a Qualifying Tenancy Agreement with a Qualifying Tenant; and

the landlord has completed a premises inspection report when the Qualifying Tenancy Agreement commenced and on at least an annual basis if there is a long term tenancy; and

the landlord’s premises has not been subject to any application to NSW Civil and Administrative Tribunal (Tribunal) in relation to any rent default; and

the landlord and landlord’s premises satisfies the Insurer’s requirements (for example the landlord’s premises is not listed on any statutory heritage register (unless the premises has been rewired or replumbed in the previous twenty (20) years from the date of this Agreement), located within a designated flood zone or located in bush fire prone land); and

the landlord is able to demonstrate that it has, in the 24 months immediately prior to the date of this agreement, carried out all works of non-urgent maintenance at the premises within 14 days of being notified by any tenant of the premises and has carried out all urgent works of repair within 3 days of notice from any tenant of the premises; and

the landlord is not in breach under the terms of the Qualifying Tenancy Agreement as at the date of this agreement nor in any dispute with the Qualifying Tenant under the Qualifying Tenancy Agreement; and

the landlord has entered into a valid and continuing Agency Agreement and is not at any time in breach under that Agency Agreement; and

the landlord has been able to obtain and has taken out Landlord’s Insurance (as set out in Paragraph 7 below) that is current at the time of the Qualifying Rent Default and is not at any time in breach of that Landlord’s Insurance; and

the Landlord has provided any and all verification documentation as required under paragraph 2.2 of the Terms.

Qualifying Tenant

A Qualifying Tenant must satisfy the following conditions:

be a tenant of a Qualifying Landlord under the terms of a Qualifying Tenancy Agreement from the date the tenant took up residence in the premises; and

is not at the date of this agreement and has not been in default under the terms of the Qualifying Tenancy Agreement or under any previous tenancy agreement with the Qualifying Landlord; and

is not at the date of this agreement listed on any list maintained by Trading Reference Australia, TICA Insurances Pty Ltd, Equifax Pty Ltd or any other provider of national tenancy databases in Australia; and

the tenant is not in any dispute with a Qualifying Landlord in relation to the Qualifying Tenancy Agreement at the date of this agreement; and

the tenant has provided any and all verification documentation as required under paragraph 2.2 of the Terms; and

the tenant has not received a breach notice from or on behalf of the Qualifying Landlord (or been more than five days in arrears) in the 12 months immediately prior to the date of this agreement; and

the tenant has not made three rent payments that were more than three days late at any time in the twelve months immediately prior to the date of this agreement.

Qualifying Tenancy Agreement

A Qualifying Tenancy Agreement must satisfy the following conditions:

be a tenancy agreement which is consistent with the standard residential tenancy agreement contained in the Residential Tenancies Act NSW 2010 (Act) and Residential Tenancies Regulation 2010 NSW (Regulation); and

the tenancy agreement does not contain a break right in favour of the Qualifying Tenant; and

where the Qualifying Tenant consists of more than one party, each party is jointly and severally liable under the terms of that tenancy agreement; and

the Qualifying Tenant pays the Rent under the tenancy agreement by way of direct debit; and

the tenancy agreement allows us to validly serve a Termination Notice and Termination Order (as defined in paragraph 6.1.1 below) on behalf of the Qualifying Landlord in line with the timeframes contained in the Act and Regulations; and

the tenancy agreement has been validly entered into and completed by a Qualifying Landlord and Qualifying Tenant; and

the tenancy agreement is for a fixed-term of no less than 6 months; and

contain provisions requiring the Tenant to pay a security deposit of no less than a sum being the equivalent to four weeks rent which the Landlord is entitled to call upon on breach of the tenancy agreement (Bond).

If the Qualifying Tenancy Agreement subsequently becomes a periodic tenancy agreement the Rent Guarantee Service will remain available to a Qualifying Landlord but we will not advance more than a Qualifying Landlord would be legally entitled to recover from the Qualifying Tenant due to noncompliance with their periodic tenancy agreement (being the relevant notice period under that periodic tenancy agreement).

Qualifying Rent Default

A Qualifying Rent Default occurs where:

there is a failure by the Qualifying Tenant to pay the Rent under the Qualifying Tenancy Agreement to the Qualifying Landlord by the due date contained within that Qualifying Tenancy Agreement; or

the Qualifying Tenant leaves the Premises without giving the Qualifying Landlord the required notice as stated in the Qualifying Tenancy Agreement and has not paid the Rent owing; and

we are able to serve a valid Termination Notice and Termination Order (both terms as defined in paragraph 6.1.1 below) on the Qualifying Tenant under the terms of the Qualifying Tenancy Agreement within the timeframes stipulated in the Act and Regulations.

If the Tenant fails to pay a part of the Rent, it is the remainder of the outstanding rent and not the whole of the Rent that forms part of the Qualifying Rent Default.

The Qualifying Rent Default will come to an end on:

the date that the Insurance Limit is met; or

the date that the Qualifying Tenant pays the outstanding Rent in full to the Qualifying Landlord; or

if the Qualifying Tenant and Qualifying Landlord agree to a payment plan in relation to the Outstanding Rent Repayment (Payment Plan), then the Qualifying Rent Default will end on the date that the Landlord is deemed to accept the terms of the Payment Plan. This is the date that the first payment is made in relation to Outstanding Rent Repayment by the Qualifying Tenant,

the payments made by the Qualified Tenant in relation to Outstanding Rent Repayment will first be applied to reimburse Different or the Insurer in accordance with the terms of paragraph 1.4 of this Schedule.

If a Payment Plan is agreed, or a scheme of arrangement for the repayment of arrears is ordered by the Tribunal (Scheme of Arrangement), which reduces the Rent under the Qualifying Tenancy Agreement then you acknowledge and agree that no payment under the Rent Guarantee Service will be allowed for the amount being the difference between the original rent under the Qualifying Tenancy Agreement and the reduced rent under any Payment Plan or Scheme of Arrangement.

A Qualifying Rent Default will not arise where:

the Qualifying Tenant has validly exercised a break right granted under the terms of Qualifying Tenancy Agreement; or

a Qualifying Landlord and a Qualifying Tenant have agreed to reduce the rent under a Qualifying Tenancy Agreement and the Qualifying Tenant subsequently defaults under the terms of that Qualifying Tenancy Agreement; or

arrears have accrued up to the time that the Qualifying Tenant departs the premises and the Qualifying Landlord has failed to issue or fails to authorise Different to issue and/or act on breach notices as provided under the Act or Regulation; or

the Qualifying Landlord under a Qualifying Tenancy Agreement is in breach of any of the terms of the Qualifying Tenancy Agreement; or

there is an ongoing dispute between the Qualifying Landlord and Qualifying Tenant; or

in relation to any breach where the Qualifying Tenant is entitled to withhold payment of Rent under the Qualifying Tenancy Agreement as a result of that breach or dispute.; or

arrears of Rent or failure to pay Rent results either directly or indirectly from any Act of God, pandemic or any voluntary or mandatory restraint on a Qualifying Tenant or any other person attending or participating in any work or other income generating activity whether this restraint has been imposed, mandated, recommended or suggested by any government, health organisation, employer or other person, or is self-imposed (Disqualifying Cause) including where a Qualifying Tenant or any other person has chosen to or is otherwise required to refrain from participating in any work or other income generating activity for any reason directly or indirectly relating to a Disqualifying Cause.

Termination Date

You acknowledge and agree that:

if the Qualified Tenant is in arrears of Rent for a period of 14 days or more then Different will be entitled to serve a termination notice on the Qualified Tenant (Termination Notice). On the same date, Different may also apply for a termination order from the Tribunal (Termination Order).

The Termination Notice will require the Qualified Tenant to give vacant possession of the premises and return the premises and the keys in accordance with the terms of the Qualifying Tenancy Agreement on the date being 14 days from the date of the Termination Notice (Termination Date).

If the Qualified Tenant does not give vacant possession on or before the Termination Date, Different will (if it has not already done so) apply for a Termination Order. If the Tribunal makes a Termination Order, the Qualifying Rent Default will come to an end on the date determined by the Tribunal as the date the Qualifying Tenant must return the premises to the Qualifying Landlord. If no Termination Order is granted but a Payment Plan or Schedule of Arrangement is agreed, then the provisions of paragraph 5.3.3 above apply.

If you enter into a Payment Plan with the Qualified Tenant after an application is made for a Termination Order which results in the rent under the Qualifying Tenancy Agreement being reduced, all payments under the Rent Guarantee Service will cease and you will repay any amounts previously paid by us under the Rent Guarantee Service in accordance with paragraph 1.4 above on demand and no Claim will be made by us to the Insurer (as defined in paragraph 7 below).

If the Tribunal makes any award in compensation to the Qualified Landlord as a result of any Qualifying Rent Default, and any payment has been made by us under paragraph 1.3 above, then the Qualifying Landlord acknowledges and agrees that any amount received as a result of the Tribunal’s award will first be used to repay that same amount to us immediately on receipt.

Landlord’s Insurance

You must have in place a valid and continuing policy of contents insurance provided by Breeze Real Estate Insurance which is a corporate authorised representative of Breeze Underwriting Pty Ltd on behalf of Hollard Insurance Company Pty Ltd (ABN 78 090 584 473), via Modern Risk Solutions Pty Ltd (ABN 72 610 844 822) of PSC Connect Pty Limited (ABN 23 141 574 914) (Insurer) in order for the Rent Guarantee Service to apply (Landlord’s Insurance). The requirement set out in paragraph 7.1 does not in any way prevent the Qualifying Landlord from taking out any buildings insurance or any other forms of insurance with the Insurer or any other insurance provider and this will not affect the Rent Guarantee Service in any way. However, you agree that you will not obtain any additional insurance to cover those risks and losses covered under the Landlord’s Insurance. The Rent Guarantee Service is only available if a Landlord’s Insurance is in place.

You acknowledge and agree that:

you will be the insured party under the Landlord’s Insurance;

the Landlord’s Insurance must include the additional cover in relation to Rent Default (as defined under the Landlord’s Insurance);

you will maintain the Landlord’s Insurance at all times and will pay all relevant premiums on or before the due date for payment;

you will give us a copy of the certificate of currency in relation to the Landlord’s Insurance on or before each anniversary of the date of the Agency Agreement and each date of commencement under the Landlord’s Insurance;

you must not do anything which may make the Landlord’s Insurance invalid, capable of being cancelled or rendered ineffective, or which may increase the premium;

you will comply with all reasonable requirements of the Insurer and you must pay any increase in the premium of the Landlord’s Insurance caused by your act or default;

you authorise Different to make a claim on your behalf under the Rent Default cover contained in the Landlord’s Insurance from and including the date that any payment is made under the Rent Guarantee Service (Claim);

any insurance proceeds which are paid in relation to each and every Claim is authorised to be paid in the first instance to Different on account of any amounts paid under the Rent Guarantee Service on receipt and Different will pay the balance remaining to you;

if any Claim is refused as a result of any act, omission, default, failure to pay or any other reason caused by or contributed to by the Qualifying Landlord then all payments made under the Rent Guarantee Service must be repaid to us on demand and no further payments will be made to the Qualifying Landlord under the Rent Guarantee Service and the Rent Guarantee Service will terminate;

any amounts advanced to you by us under paragraph 1.3 above must be repaid to us, and in the absence of reimbursement from the Insurer or the Qualifying Tenant you must repay those amounts to us on demand;

if the Insurer requires the Qualified Landlord to confirm the authorisations given in this clause then you will give such authorisations in writing as and when requested. Any failure to provide such authorisations will result in the Rent Guarantee Service being terminated and any advance made under the Rent Guarantee Service being repaid by you to us on demand;

if the Insurer serves any notice or gives any correspondence to you in relation to the Landlord’s Insurance then such notice or correspondence must also be provided to us as soon as possible;

if the Insurer cancels the Landlord’s Insurance, the landlord will no longer constitute a Qualified Landlord and will not be eligible for the Rent Guarantee Service. If such cancellation occurs after an advance has been made under the Rent Guarantee Service but prior to any Claim under the Landlord’s Insurance being paid, any advance made under the Rent Guarantee Service will be repaid by you to us on demand; and

subject to the provisions contained in paragraph 1.4, if any insurance proceeds are paid following any Claim, and the Qualifying Tenant pays all arrears of Rent and the Qualifying Tenancy Agreement is not terminated and is continuing, then you will reimburse Different for any advance made under paragraph 1.3 on demand and reimburse the Insurer for any insurance proceeds paid as a result of that Claim.

Mortgagee Repossession

If a mortgagee legally takes possession of the premises which is subject to a Qualifying Tenancy Agreement, then this agreement will automatically come to an end unless otherwise agreed between us and the incoming mortgagee in possession.

Dispute Resolution

We welcome every opportunity to resolve any concerns you may have with the Rent Guarantee Service. In the first instance, please contact us

Your concern will be investigated by an officer with authority to deal with the complaint and you will be informed of the outcome within fifteen working days of receiving your consent. If your concern still remains unresolved to your satisfaction or has not been resolved within 45 days, you may refer the matter to the complaint service offered by NSW Government Fair Trading subject to its terms of reference.

If your concern is with regards to the Landlord’s Insurance we suggest that you contact the Insurer or Modern Risk. This Rent Guarantee Service is a separate and distinct agreement from the Landlord’s Insurance and we are unable to assist or advise in any way in relation to the Landlord’s Insurance or any other policy of insurance.

Termination

This Rent Guarantee Service will automatically come to an end if the Landlord’s Insurance is terminated or cancelled. The Rent Guarantee Service will also automatically come to an end if the Insurer no longer provides Landlord’s Insurance or if the Insurer changes or we are no longer able to lawfully provide the Rent Guarantee Service.

We can cancel the Rent Guarantee Service at any time if you do not comply with the Terms, if you fail to give the authorisations required under the Rent Guarantee Service Terms, if you fail to maintain the Landlord’s Insurance and pay your premium under that policy, if you make a fraudulent claim or if you did not comply with your duty of disclosure or misrepresented information when you entered into this agreement or where required by law. If we cancel this agreement, we will send you a cancellation letter and the Rent Guarantee Service will be terminated from the date of that letter.

If you do not tell us anything you are required to, we may cancel this agreement at any time or reduce the amount we will pay under the Rental Guarantee Service, or both. If your failure to tell us is fraudulent, we may refuse to pay under the Rental Guarantee Service and treat this agreement as if it never existed.

We can cancel the Rent Guarantee Service at any time if you do not comply with your obligations contained in the Qualifying Tenancy Agreement especially in relation to carrying out urgent repairs on the premises within the timeframes contained in that Qualifying Tenancy Agreement, the Act or Regulations or general works of maintenance within fourteen (14) days’ notice from the Qualifying Tenant or you do not authorise us to carry out those works within those timeframes. If we advise you that you may be in breach of your Qualifying Tenancy Agreement or that works of repair are required to be undertaken, and you refuse, we can cancel the Rent Guarantee Service.

We can cancel the Rent Guarantee Service at any time if we are prevented from exercising our rights under the Terms and prevented from serving a Tenancy Notice or applying for a Termination Order by the Qualifying Landlord.

We can cancel the Rent Guarantee Service at any time if you do not comply with any other express or implied obligation under this agreement.

We can cancel the Rent Guarantee Service, if at any time, you are no longer a Qualifying Landlord with a Qualifying Tenancy Agreement in place with a Qualifying Tenant.

Acceptance

By entering into the Agency Agreement, I confirm that:

I agree and accept the Rent Guarantee Service Terms; and

I am aware that any collection of personal information is used in accordance with Different’s Privacy Policy and further information is available at www.different.com.au; and

I am a Qualifying Landlord who has a Qualifying Tenancy Agreement with a Qualifying Tenant; and

there is no existing dispute, issue or disagreement which has arisen or occurred or is currently ongoing at the premises to be managed by Different; and

the Rent and all other payments to be made by the Qualifying Tenant under the Qualifying Tenancy Agreement entered into with a Qualifying Tenant of the premises to be managed by Different is currently up to date and not in arrears; and

the Qualifying Tenant has paid in full and the Qualifying Landlord has received under a Qualifying Tenancy Agreement relating to the premises to be managed by Different a bond for a sum being the equivalent of four (4) weeks rent under the Qualifying Tenancy Agreement; and

the authorisations to be given to Different under paragraphs 1.4, 1.8, 7.3.7 and 7.3.8 of this Schedule are duly given and will continue in full force and effect until written notice is provided to Different that Different is no longer authorised or this agreement comes to an end (whichever is the earlier).
